Terms of Service

These Terms of Service ("Terms") govern your access to and use of UniOrder ("we", "us", or "our"), a multi-tenant online ordering platform. By using our platform, you agree to be bound by these Terms.

1. Definitions

  • Platform: the UniOrder web application, including all storefronts, dashboards, and APIs.
  • Merchant: a business or individual who registers to sell products and manage orders through the Platform.
  • Customer: any person who browses a merchant's storefront, places an order, or books a table.
  • Company: a merchant's business entity, which may operate one or more restaurants.
  • Services: all features and functionality provided by the Platform.

2. Account Registration

2.1 Merchant Accounts

  • You must provide accurate, complete, and current information during registration and onboarding.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must promptly notify us of any unauthorised use of your account.

2.2 Customer Access

Customers can place orders and book tables as guests without creating an account. By placing an order or booking, you agree to these Terms.

3. Merchant Obligations

As a merchant, you agree to:

  • Provide accurate business information, including your ABN/tax ID where applicable.
  • Keep your menu, pricing, and availability up to date.
  • Fulfil orders promptly and in good faith.
  • Comply with all applicable food safety, health, and business regulations.
  • Handle customer data in accordance with our Privacy Policy and applicable privacy laws.
  • Maintain a valid Stripe Connect account for accepting online payments.
  • Not use the Platform for any unlawful purpose.

4. Platform Fee

4.1 No Subscription

There is no subscription fee, no plan tiers, and no minimum term. All Platform features are available to every merchant account.

4.2 Platform Fee

We charge a platform fee of 0.75% of the order total on each order paid online through your storefront. Orders paid in cash, and orders entered through the in-store POS, incur no platform fee.

The fee is collected as a Stripe Connect application fee at the time of payment, deducted from the payment as it settles into your connected Stripe account. No separate invoice is issued.

4.3 Payment Processing Costs

Online payments are processed as Stripe direct charges on your own connected Stripe account. Stripe bills its card processing fee directly to that account at the rate applicable to the card used, and we are not a party to it. Our 0.75% platform fee is charged in addition to Stripe's fee.

Our pricing page describes the combined cost as 2.5% + 30c per online order. That figure is the sum of our 0.75% platform fee and Stripe's standard published rate for Australian domestic cards (1.75% + 30c) at the time of writing. It is indicative only: Stripe's rates are set by Stripe, differ for American Express and overseas-issued cards, and may change. The rate we control and commit to under these Terms is the 0.75% platform fee.

4.4 Fee Changes

We may change the platform fee rate on 30 days' written notice to the email address on your account. Continued use of the Platform after the notice period constitutes acceptance of the new rate.

4.5 Suspension

We may suspend a merchant's storefront for violation of these Terms, suspected fraud, or sustained chargeback abuse. Suspension does not affect funds already settled to your Stripe account.

5. Orders and Payments

5.1 Order Processing

  • Orders are placed through a merchant's storefront and processed by the merchant.
  • UniOrder facilitates the transaction but is not a party to the sale between the customer and the merchant.
  • Order prices, descriptions, and availability are the responsibility of the merchant.

5.2 Payment Processing

  • Online payments are processed through Stripe Connect. UniOrder does not store credit card details.
  • Cash payments are recorded on the Platform but handled directly between the customer and merchant.
  • A platform application fee may apply to each transaction processed through Stripe.

5.3 Pricing and Tax

  • Merchants are responsible for setting accurate prices and configuring tax rates (e.g. GST).
  • Prices may be displayed as tax-inclusive or tax-exclusive, as configured by the merchant.
  • Delivery fees are set by the merchant per delivery zone.

5.4 Coupons

  • Coupon codes are created and managed by merchants. UniOrder is not responsible for honouring coupon offers.
  • Coupons are subject to validity, expiry, usage limits, and minimum order conditions as configured by the merchant.

6. Cancellations and Refunds

7. Table Bookings

  • Table bookings are subject to availability and merchant confirmation.
  • Customers may cancel a booking before the scheduled time via the cancellation link provided.
  • Merchants may cancel bookings, mark no-shows, or reassign tables at their discretion.
  • UniOrder facilitates bookings but does not guarantee availability.

8. Intellectual Property

8.1 Platform

All intellectual property rights in the Platform (excluding merchant-uploaded content) belong to UniOrder. You may not copy, modify, distribute, or reverse engineer any part of the Platform.

8.2 Merchant Content

Merchants retain ownership of content they upload (logos, photos, menu descriptions). By uploading content, you grant UniOrder a non-exclusive, worldwide licence to use, display, and distribute that content solely for the purpose of providing the Services.

9. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful, fraudulent, or harmful purpose.
  • Interfere with or disrupt the Platform or its infrastructure.
  • Attempt to gain unauthorised access to any part of the Platform.
  • Submit false, misleading, or inaccurate information.
  • Scrape, crawl, or use automated tools to extract data from the Platform.
  • Impersonate any person or entity.
  • Upload content that infringes on the rights of others.

10. Limitation of Liability

To the maximum extent permitted by law:

  • UniOrder is provided on an "as is" and "as available" basis without warranties of any kind.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not liable for the quality, safety, or legality of products sold by merchants through the Platform.

11. Indemnification

You agree to indemnify and hold UniOrder harmless from any claims, losses, or damages arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

  • We may suspend or terminate your account at any time for violation of these Terms, with or without notice.
  • Merchants may close their account at any time from their dashboard settings.
  • Upon termination, your right to use the Platform ceases immediately. Outstanding obligations (unpaid fees, pending orders) survive termination.

13. Modifications to Terms

We may modify these Terms at any time. We will notify merchants of material changes via email or dashboard notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
